The proposed terms and conditions for:

- The Sum of all Positive 8 Week Online Group Program

- The Sum of all Positive Online Courses - Breathwork, Desk Yoga and Meditation

- The Sum of all Positive 1:1 Wellness & Mindset Coaching

This term sheet is only for discussion purposes and is not intended to impose any legal obligation on any party. 

1. Purchase of Interests

Purchaser hereinafter the Purchaser would acquire from Sum of all Positive, LLC hereinafter the Company, the following properties and assets:

-  Content including wellness, mindset, career and life coaching strategies, relevant worksheets, online videos in the areas of meditation, breathwork, desk yoga, life and career advice.

-  Designs, content and strategies developed by Sum of all Positive, LLC

-  The properties and assets purchased would be hereinafter referred to as the Assigned Interests. 

2. Purchase Price

In consideration for the transfer and sale by the Company of the Assigned Interests to Purchaser, Purchaser would pay $897.00 to the Company for the 8 Week Online Group Program. The payment terms would be as follows: Paid in full prior to the start of the course or arranged installments due on assigned dates. Purchase is refundable if refund is requested within 14 days of the program start date.

Terms for online course purchase: $27.99 due prior to receiving content. Purchase is refundable if refund is requested within 7 days of the purchase date.

Terms for the monthly coaching purchase: $897 monthly with option to cancel at any time. Purchase is refundable if refund is requested within 14 days of the program start date.

Purchaser is not permitted to sell or share the content of any of the above programs or courses. Copying information and/or representing self as the creator of content is prohibited. Payment for payment plans must be received prior to due date or purchaser will lose access to the program. 

3. Representations and Warranties 

(a) The Purchaser and Company will comply with applicable law in the performance of above transaction; (b) Company has good title and ownership over the Assigned interests; (c) Company guarantees that the Assigned Interests is free from any obligation and defects. (d) There is no pending Proceeding that has been commenced against Company and the Purchaser that challenges, or may have the effect of preventing, delaying, making illegal or otherwise interfering with, any of the Contemplated Transactions. (e)The Purchaser or Company, under no circumstances shall make any public disclosure about the Transaction prior to the Closing. Any such disclosure at or after the Closing must be mutually agreeable to both parties; provided, however, that nothing in this provision will prevent the Company from fulfilling any legal disclosure obligations. 

4. Governing Law 

This term sheet shall be governed by and construed in accordance with the laws of the state of Florida. 

5. Confidentiality 

The terms and conditions of this Term Sheet shall be held confidential by the parties. Additionally Purchaser must review Disclaimer, Terms of Service and Privacy Policies.
